Scope of Services The event management company ("Company") agrees to provide event planning and management services as agreed upon by the parties in the contract ("Agreement"). The scope of services will be described in detail in the Agreement, and any changes must be agreed to in writing by both parties.
Responsibilities of the Company The Company will perform its services in a professional and timely manner, using its best efforts to ensure the success of the event. The Company will be responsible for coordinating with vendors and suppliers, securing necessary permits and licenses, and managing the event budget. The Company will provide regular progress reports to the client as agreed upon in the Agreement.
Responsibilities of the Client The client will provide the Company with all necessary information and access to the event venue and stakeholders. The client will also provide timely feedback and approvals as needed, and promptly pay all fees and expenses related to the event.
Fees and Expenses The fees for the Company's services will be set forth in the Agreement. Any additional services or expenses must be approved in writing by both parties before they are incurred. The client is responsible for all expenses related to the event, including but not limited to venue rental, catering, and equipment rental.
Cancellation and Termination Either party may terminate the Agreement at any time for any reason upon written notice to the other party. If the Agreement is terminated by the client, the client may be responsible for paying all fees and expenses incurred by the Company up to the date of termination. If the Agreement is terminated by the Company, the Company will refund any fees paid by the client for services not yet performed.
Liability and Indemnification The Company will not be liable for any damages, losses, or injuries incurred by the client or event attendees, except in cases of gross negligence or willful misconduct. The client agrees to indemnify and hold harmless the Company and its agents, employees, and affiliates from any claims, damages, or liabilities arising out of or in connection with the event.
Intellectual Property The client represents and warrants that it has all necessary rights to use any materials provided to the Company for use in the event. The client retains all rights to any intellectual property developed by or for the event.
Confidentiality The parties agree to keep all confidential information related to the event confidential, except as required by law or with the other party's written consent.
Governing Law and Jurisdiction The Agreement will be governed by and construed in accordance with the laws of the jurisdiction where the event is held. Any disputes arising under the Agreement will be resolved by the courts of that jurisdiction.
Entire Agreement The Agreement contains the entire understanding of the parties and supersedes all prior or contemporaneous negotiations, discussions, agreements, or understandings, whether written or oral. No amendment or modification of the Agreement will be binding unless in writing and signed by both parties.
